1. Welcome and Agreement
Welcome to OMNIWISE WORKPLACE SOLUTIONS LIMITED! These terms and conditions (hereinafter referred to as "Terms") outline the binding agreement between you (the "Customer") and us (OMNIWISE WORKPLACE SOLUTIONS LIMITED) for the supply of products via phone orders, online orders through our websites: www.o-w-s.co.uk, and emailed orders. By placing an order with us, you acknowledge and agree to be bound by these Terms. It is imperative that you carefully read and understand these Terms before proceeding.

We are OMNIWISE WORKPLACE SOLUTIONS LIMITED, a registered company in England & Wales under company number 11259347 but also trade as Omniwise, OWS and Omniwise Workplace Solutions. Our registered office is located at Unit 2 & 3 Middleton Hall Courtyard, Tamworth. B78 2AE.
3. Customer Eligibility
By placing an order over the phone, through our websites, or via email, you confirm and warrant that: You possess the legal capacity to enter into binding agreements and you are duly authorised to act on behalf of the company for which you are placing the order.
4. Formation of Agreement
You can initiate an order either by phone, through our online ordering system, or by emailing us. It is important to note that the submission of an order does not automatically imply its acceptance. Your order serves as an offer to purchase products, and we retain the right to accept or decline it. The agreement between us becomes binding when we dispatch the ordered goods to you.
5. Product Availability and Delivery
We strive to fulfil orders within 24 hours from the date of order placement. Typically, goods will be delivered the next working day, barring exceptional circumstances, holidays, special order products and products out of stock. If delays are expected, we will communicate this to you.
6. Ownership Transfer
Ownership of the products will be transferred to you upon receipt of full payment for the products, which encompasses all applicable delivery charges.
7. Pricing and Payment
7.1 The prices of products and delivery are as quoted, except in cases of obvious errors.
7.2 Value Added Tax (VAT) will apply to product prices and delivery charges unless VAT exempt.
7.3 While we aim to maintain accurate pricing, prices and charges are subject to change. However, such changes will not impact orders that have already been placed. 7.4 In instances where a product's price is incorrectly listed, we will reach out to you for further instructions or reserve the right to reject the order. We are not obligated to honour products at incorrect (lower) prices if the error is obvious.
7.5 Payment is due within 30 days of the invoice date. Non-payment may lead to account suspension, financial penalties, and the removal of discounts of RRP.
7.6 Agreement prices are susceptible to change and may necessitate a minimum order. Items infrequently ordered might undergo adjustments or removal from the agreement.
7.7 Orders exceeding £2,500 require a non-refundable deposit of one-third at the time of order placement, followed by one-third upon delivery and the final third upon invoice.
7.8 'Specials' and non-catalogue items demand a signed order form, are non-refundable, and are non-modifiable once signed.
8. Delivery and Charges
8.1 We endeavour to dispatch products within 24 hours, contingent upon product availability.
8.2 Orders exceeding £50 (ex. VAT) qualify for free delivery, subject to change. Orders valued below this amount will incur a standard delivery charge of £6.00 + VAT. Additional charges may be imposed for heavy or irregularly shaped items, and we commit to notifying you of such charges before confirming your order.
9. Shortages, Errors, and Returns
9.1 Inspection upon Receipt
Upon receiving your order, we strongly encourage you to thoroughly inspect the contents. If you discover any items missing or incorrect, please notify us within 24 hours of receipt to ensure swift resolution.
9.2 Returns Period
Not required returns are accepted within 10 working days from the date of receipt (excluding non-returnable items). To be eligible for a return, the products must be in their original condition and packaging.
9.3 Late Returns
Returning items after the 10-working day period may result in a restocking fee. Additionally, late returns might be subject to supplementary charges.
9.4 Initiating a Return
To initiate a return, please contact our Customer Support team or raise a online returns form within the specified returns period. Our team will provide you with the necessary instructions and guidelines for the return process.
9.5 Return Authorisation
Prior to returning any items, you must obtain authorisation from our Customer Support team. Unauthorised returns may not be accepted or processed, and you will still be liable for payment of the item(s).
9.6 Inspection of Returned Items
Once we receive the returned items, our team will inspect them to ensure they meet the criteria for return as stated in this policy. We reserve the right to refuse returns that do not comply with our guidelines.
9.7 Refund Process
If the returned items meet the required conditions; we will initiate the refund process. Refunds will be processed using the same payment method used for the original purchase.
9.8 Exclusions
Certain items may be exempt from our returns policy due to hygiene reasons or other considerations. Please contact our Customer Support team for clarification if needed.

For the purpose of this agreement, you consent to electronic communication for notices, agreements, marketing and other relevant information.
13. Events Beyond Our Control
We shall not be held liable for any failure to perform our obligations due to events beyond our control (Force Majeure Event), including but not limited to strikes, disasters, and government actions.
14. Modification of Terms
We reserve the right to modify these Terms. Orders will be governed by the terms in effect at the time of order placement, unless legal requirements dictate otherwise.
